Welcome to The Williams Agency. These Terms of Service ("Terms") govern your use of our website at www.thewilliamsagency.us and the social media marketing services provided by The Williams Agency ("we," "us," or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms.

Services

The Williams Agency provides social media marketing services to businesses and brands, including but not limited to:

• Social Media Management: Strategy, scheduling, posting, community management, and analytics across social media platforms
• Content Creation: Photography, videography, graphic design, copywriting, and short-form video production for social media
• Brand Strategy: Brand audits, positioning, visual identity guidance, and content strategy development
• Paid Advertising: Campaign strategy, ad creation, audience targeting, and performance management across Meta Ads, Google Ads, TikTok Ads, and other platforms

Specific deliverables, timelines, and scope of work are detailed in individual service agreements between The Williams Agency and each client.

Client Responsibilities

As a client, you agree to:

• Provide timely access to social media accounts, brand assets, and any materials necessary for service delivery
• Review and approve content within the agreed-upon timeframes outlined in your service agreement
• Provide timely feedback on deliverables, strategies, and content drafts
• Ensure that all materials, information, and access credentials provided to us are accurate and authorized for use
• Maintain responsibility for the accuracy of information about your business, products, and services
• Comply with all applicable social media platform terms of service

Payment Terms

• Services are billed on a monthly retainer basis unless otherwise specified in your service agreement
• Invoices are issued at the beginning of each service period and are due within 15 days of the invoice date (Net 15)
• Service packages and pricing are outlined in your individual service agreement or proposal
• Late payments may result in a suspension of services until the outstanding balance is resolved
• Any additional services beyond the agreed scope will be quoted separately and require written approval before work begins
• Ad spend and third-party costs (such as paid advertising budgets, software subscriptions, or stock media) are billed separately from service fees

Intellectual Property

Ownership and usage rights for content and materials are governed as follows:

• Client Ownership: All custom content created specifically for a client (including social media posts, graphics, videos, and copy) becomes the property of the client upon full payment for the services rendered
• Agency Portfolio Rights: The Williams Agency retains the right to display completed work in our portfolio, case studies, website, and marketing materials for promotional purposes, unless otherwise agreed in writing
• Pre-existing IP: Any tools, templates, frameworks, or methodologies developed by The Williams Agency prior to or independent of a client engagement remain our property
• Third-Party Materials: Licensed stock media, fonts, or other third-party assets used in deliverables are subject to their respective license terms

Service Agreements and Minimum Terms

Social media marketing is a long-term investment. To ensure meaningful results, our service packages include minimum commitment periods:

• Spark and Growth packages: 3-month minimum commitment
• Scale and Partner packages: 6-month minimum commitment

After the minimum commitment period, services continue on a month-to-month basis unless terminated in accordance with the Termination section below.

Termination

Either party may terminate services under the following conditions:

• After the minimum commitment period, either party may terminate with 30 days' written notice sent to the other party via email
• Upon termination, the client is responsible for payment of all outstanding invoices and any work completed up to the effective termination date
• The Williams Agency will provide reasonable transition assistance, including transferring access to social media accounts and delivering any completed but unposted content
• Early termination (before the minimum commitment period ends) may be subject to an early termination fee as outlined in your service agreement
• Either party may terminate immediately in the event of a material breach that is not cured within 14 days of written notice

Limitation of Liability

To the fullest extent permitted by law:

• The Williams Agency shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, profits, or business opportunities
• We do not guarantee specific results, including follower counts, engagement rates, impressions, or revenue from social media marketing efforts. Social media performance depends on many factors beyond our control, including platform algorithm changes, market conditions, and audience behavior
• Our total liability for any claim arising from or related to our services shall not exceed the total fees paid by the client in the three (3) months preceding the claim
• We are not responsible for changes to social media platform policies, algorithms, or terms of service that may affect campaign performance or account status

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This includes business strategies, account credentials, financial information, and any information marked as confidential. Confidentiality obligations survive the termination of the service agreement.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising out of or related to these Terms or our services shall be resolved in the state or federal courts located in Dallas County, Texas.

Changes to These Terms

We reserve the right to update or modify these Terms at any time. Changes will be posted on this page with a revised "Last updated" date. Continued use of our website or services after any changes constitutes acceptance of the revised Terms.
